Terms of Service

1. Agreement to Terms

By accessing and using AgencyReporter ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including agencies, freelancers, and any other individuals or organizations accessing the Service.

2. License Grant

We grant you a non-exclusive, non-transferable, revocable license to access and use AgencyReporter solely for your internal business purposes. You may not:

  • Reverse engineer, decompile, or attempt to discover the source code of the Service
  • Remove or obscure any copyright or proprietary notices
  • Resell, lease, sublicense, or transfer your account or access rights to any third party
  • Use the Service to build a competing product or service
  • Exceed the usage limits of your subscription tier
  • Scrape, crawl, or systematically extract data from the Service

3. Third-Party Integrations

AgencyReporter connects to third-party platforms including Google Ads, Google Analytics (GA4), and Meta Ads on your behalf via OAuth authorization. By connecting these accounts you confirm you have the authority to do so. You acknowledge that:

  • We access these accounts in read-only mode solely to generate your reports
  • We are not responsible for changes, outages, or policy updates by Google, Meta, or any other third-party provider
  • Disconnecting an integration will prevent future reports from including that platform's data
  • Third-party platforms may have their own terms of service which you are responsible for complying with

4. Payment Terms

All subscriptions are billed monthly to the payment method on file via Stripe. By subscribing you authorize us to charge your payment method on a recurring monthly basis until you cancel.

  • You may cancel your subscription at any time from your account settings or by contacting us
  • Upon cancellation you will retain access until the end of your current billing period
  • You will not be charged for subsequent billing periods after cancellation
  • Refunds for partial months are not provided
  • We reserve the right to change subscription pricing with 30 days written notice via email

5. Refund Policy

All subscription payments are final and non-refundable, with the following exception:

Service Outage Refund: If AgencyReporter is unavailable for more than 72 consecutive hours due to our infrastructure failure (excluding scheduled maintenance and third-party provider outages such as Google, Meta, Stripe, or Vercel), we will issue a pro-rata credit or refund for that billing period upon request. Claims must be submitted within 30 days of the outage end date to contact@agencyreporter.info.

We do not offer refunds for:

  • Change of mind or dissatisfaction with features
  • Cancellation during an active billing period
  • Partial month usage after cancellation
  • Account termination due to Terms violations
  • Third-party integration downtime (Google, Meta, etc.)

6. Account Termination

Either party may terminate access to the Service at any time. We reserve the right to suspend or terminate your account immediately and without notice if we determine, in our sole discretion, that you have:

  • Violated any provision of these Terms
  • Provided false or misleading information
  • Engaged in fraudulent, abusive, or illegal activity
  • Failed to pay subscription fees when due

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination before permanent deletion, during which time you may request an export.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to our systems, servers, or databases
  • Upload or transmit malicious code, viruses, or harmful software
  • Interfere with or disrupt the integrity or performance of the Service
  • Impersonate any person or entity or misrepresent your affiliation
  • Harvest or collect data from the Service without our express written consent

8. Intellectual Property

The Service and all content, features, and functionality — including but not limited to software, text, graphics, logos, and report templates — are owned by AgencyReporter and protected by applicable intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you.

You retain ownership of all data you upload or connect to the Service, including client data and ad platform data. By using the Service you grant us a limited license to process that data solely for the purpose of providing the Service to you.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. AgencyReporter expressly disclaims all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that report data will be 100% accurate. Report accuracy depends on data provided by third-party platforms (Google, Meta) which we do not control.

10. Limitation of Liability

To the fullest extent permitted by law, AgencyReporter and its service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, revenue, or profits — arising from your use of or inability to use the Service. Our total liability to you for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 3 months preceding the claim.

11. Modifications to Terms

We may update these Terms at any time. For material changes that negatively affect your rights — such as price increases or significant feature removals — we will provide at least 14 days written notice via email. Your continued use of the Service after the notice period constitutes acceptance. If you do not agree with the changes, you may cancel your subscription before the changes take effect.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to conflict of law principles. You agree to submit to the personal jurisdiction of the state and federal courts located in Minnesota for the resolution of any disputes arising from these Terms or your use of the Service.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AgencyReporter regarding the Service and supersede all prior agreements, representations, and understandings. No waiver of any term shall be deemed a further or continuing waiver of that term.
